1. Our Services

Local Answers provides AI visibility services for local businesses, including AI visibility audits, citation building, optimization, and ongoing monitoring (the "Services"). The specific scope, deliverables, and fees for any engagement are described at the time of purchase or in a separate written agreement, which controls in the event of a conflict with these Terms.

2. No Guarantee of Results

AI platforms such as ChatGPT, Claude, Gemini, Grok, and Perplexity, and search engines such as Google and Bing, are operated by third parties and change frequently. While our Services are designed to improve how your business appears across these platforms, we do not and cannot guarantee specific rankings, recommendations, mentions, visibility scores, lead volumes, or revenue outcomes. Any projections, forecasts, or estimates we provide are illustrative and not promises of performance.

3. Client Responsibilities

• Provide accurate, current, and complete information about your business
• Ensure you have the authority to engage us on behalf of the business
• Grant access to accounts and profiles (such as Google Business Profile or directory listings) where needed to perform the Services
• Use the Services only for lawful purposes and in compliance with the policies of third-party platforms

4. Fees, Billing, and Cancellation

Fees are stated at the time of purchase. Ongoing services are billed month to month unless otherwise agreed in writing. You may cancel ongoing services at any time, effective at the end of the current billing period; no long-term commitment is required and no cancellation penalties apply. Fees for work already performed, including completed audits, are non-refundable unless otherwise stated in writing.

5. Intellectual Property

All content on the Site, including text, graphics, logos, reports, research, and methodology, is owned by Local Answers or its licensors and protected by applicable law. Audit reports and deliverables we prepare for you are licensed to you for your internal business use. You may not resell, republish, or redistribute our reports, research, or methodology without our written permission. Third-party trademarks, including ChatGPT, Claude, Gemini, Grok, and Perplexity, are the property of their respective owners; their use on the Site is for identification only and does not imply affiliation or endorsement.

6. Acceptable Use

You agree not to misuse the Site, including attempting to interfere with its operation, scraping content at scale without permission, submitting false or misleading information, or using the Site or Services to violate any law or third-party right.

7. Third-Party Platforms and Links

The Services relate to platforms we do not control. We are not responsible for the actions, policies, outages, or algorithm changes of any third-party platform, or for content on third-party sites linked from the Site.

8. Disclaimer of Warranties

The Site and Services are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

9. Limitation of Liability

To the fullest extent permitted by law, Local Answers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or business opportunities, arising from your use of the Site or Services. Our total liability for any claim arising out of the Services will not exceed the amounts you paid us for the Services in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Local Answers and its owners, employees, and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of law, or information you provide to us.

11. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any dispute arising under these Terms will be brought exclusively in the state or federal courts located in Forsyth County, Georgia, and you consent to their jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
